Public offer

This document is an official public proposal (offer) addressed to an indefinite number of individuals to enter into an agreement on a voluntary contribution and on the provision of additional features of the Wardy service, on the terms set out below.

1. Definitions

Service — the Wardy software complex, consisting of a Telegram bot, a Telegram Mini App and the website at wardy.world.

Provider — the person whose legal details are given at the end of this document, who owns the Service and keeps it running.

User — an individual who uses the Service and makes a payment on the terms of this offer.

Contribution — a voluntary monetary payment by the User in support of the development and operation of the Service.

Additional features — paid capabilities of the Service (in particular the Prime and Turbo subscriptions and items of the in-app shop) that are activated for the User's account or for a chat after payment.

2. General provisions

The offer is public under Articles 633, 641 and 644 of the Civil Code of Ukraine. Its terms are identical for every User.

Acceptance of the offer is the User making a payment to the Provider by any of the methods offered in the Service. From the moment of acceptance the agreement is deemed concluded in written form.

By making a payment the User confirms that they have read this offer, fully understand and accept its terms, and have the legal capacity required to enter into the agreement.

The Provider may amend the terms of the offer. The current revision is always available on this page, and the revision date shown at the top is the date it takes effect.

3. Subject of the agreement

The User voluntarily transfers funds to the Provider in support of the development, maintenance and operation of the Service, and the Provider uses those funds for that purpose.

The core functionality of the Service is provided free of charge and does not depend on any Contribution.

At the User's explicit request a payment may instead activate Additional features. Their list, content and price are shown inside the Service at the moment of payment.

Additional features are deemed provided from the moment they are activated for the User's account or for the relevant chat.

4. Price and settlement

The settlement currency is the Ukrainian hryvnia (UAH).

The User decides the amount of the Contribution — either one of the suggested amounts or an amount of their own. The price of Additional features is fixed and is shown in the Service before the payment is confirmed.

Payment is made by Visa and Mastercard cards through the acquiring bank's internet acquiring system, on the bank's secure page.

The Provider does not receive, process or store the User's card details. Payment data is processed by the acquiring bank in accordance with the PCI DSS security standard.

A payment is deemed made once the funds are credited to the Provider's account.

5. Rights and obligations

The Provider undertakes to keep the Service running, to use the funds received for their intended purpose, to activate paid Additional features and to handle User enquiries.

The Provider may suspend the Service for maintenance, change the set of features, and restrict access for Users who breach the rules of the Service.

The User undertakes to provide accurate data when making a payment and not to use the Service in a way that breaches the laws of Ukraine or the rights of others.

The User may contact the Provider with any question about a payment using the contact details given in this document.

6. Refunds

The grounds and procedure for refunds are set out in a separate document — the Refund policy, which forms an integral part of this offer.

7. Liability

The Service is provided on an as-is basis. The Provider does not guarantee uninterrupted operation and is not liable for the acts of third parties, in particular the Telegram platform, banks and telecom operators.

The Provider is not liable for the content of user messages in the chats where the Service operates.

The parties are released from liability for non-performance caused by force majeure, in particular military action, outages and decisions of public authorities.

8. Term and miscellaneous

The agreement takes effect upon acceptance and remains in force until the parties have fully performed their obligations.

The laws of Ukraine apply to the relationship between the parties. Disputes are settled through negotiation and, failing agreement, in court under the laws of Ukraine.

Personal data is processed in accordance with the Privacy policy.
